These Terms of Service ("Terms") govern your use of The Snohomish Podcast Network ("the Network"), including any content, features, and services available through the website, mobile apps, or other digital platforms (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Services.
1. Definitions

"Creator": An individual or entity who produces and publishes podcast content on the Network.

"Listener": An individual who listens to or interacts with podcast content on the Network.

"Advertiser": An individual or entity who purchases advertising or sponsorship opportunities through the Network.

"Content": All audio, video, written, or graphical content, including podcasts, advertisements, and promotional material, published on the Network.

"User": Any person or entity who uses the Services, whether as a Creator, Listener, or Advertiser.
2. Acceptance of Terms
By accessing or using the Network, you agree to comply with and be bound by these Terms and any applicable laws and regulations. The Network reserves the right to modify these Terms at any time, and such modifications will be effective upon posting on this page. You should review these Terms periodically to stay informed of any changes.
3. Account Creation and Responsibilities
To use certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Creators: As a Creator, you are responsible for uploading and managing your podcast content in accordance with the Network’s Content Policy.

Listeners: As a Listener, you may need to create an account to access premium content or interact with creators. Your account must be used only for personal, non-commercial purposes.

Advertisers: As an Advertiser, you agree to comply with the Network’s Advertising Policy and to provide truthful, accurate, and lawful content in your ads.

You must notify the Network immediately of any unauthorized use of your account or any other security breach.
4. Content Ownership and Licensing

Creator Content: As a Creator, you retain ownership of the content you upload to the Network. By submitting content to the Network, you grant the Network a worldwide, non-exclusive, royalty-free license to host, distribute, and display your content across the Network’s platforms and channels.

Listener Content: Listeners do not retain ownership of any content they consume but may share, comment on, or engage with content in accordance with the Network’s usage guidelines.

Advertiser Content: Advertisers retain ownership of their ads and promotional content, but by submitting ads to the Network, they grant the Network a worldwide, non-exclusive license to display and distribute their ads across the Network’s platforms.
5. Acceptable Use
By using the Network, you agree not to:

Upload, post, or transmit any content that violates the Network’s Content Policy, including content that is unlawful, offensive, defamatory, or infringes on the intellectual property rights of others.

Use the Services to engage in any form of harassment, hate speech, or discrimination.

Distribute malicious code, malware, or viruses that could harm the Network’s infrastructure or other users’ devices.

Engage in any fraudulent activity, including misleading advertising or misrepresenting your identity or content.

Attempt to disrupt or interfere with the functioning of the Network’s platforms, including the infrastructure and services that support the Network.
6. Payment and Fees

Creators: Creators may earn revenue through the Network via ads, sponsorships, or other monetization opportunities. The Network will distribute payments according to the terms agreed upon when you signed up as a Creator.

Advertisers: Advertisers will be required to pay for their ad placements according to the terms outlined in the Advertising Agreement. Payments are non-refundable unless specified otherwise.

Listeners: Access to the basic podcast content on the Network is free. However, the Network may offer premium subscription models or paid content, and users may be charged for access to such content.
Payment methods, billing cycles, and pricing are subject to change at the Network’s discretion, and users will be notified of any changes in advance.
7. Termination of Access

By You: You may terminate your account at any time by notifying the Network or through your account settings. If you terminate your account, you may lose access to certain features or content that require a paid subscription.

By the Network: The Network may suspend or terminate your account if it believes that you have violated these Terms or any applicable laws or policies. The Network reserves the right to remove any content that violates these Terms, including advertisements or podcasts that do not comply with the Content Policy.
In the event of account termination, all applicable fees or payments owed to the Network will remain due.
8. Disclaimer of Warranties
The Network provides its Services "as is" and "as available" without any warranties or representations of any kind, either express or implied. The Network does not guarantee that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. The Network is not responsible for any damages or losses that may result from using the Services.
9. Limitation of Liability
To the fullest extent permitted by applicable law, the Network, its affiliates, and its partners shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to these Terms, the use of the Services, or any content provided through the Network. This includes, but is not limited to, loss of profits, data, or business interruption.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Network, its affiliates, employees, agents, and licensors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your content, or your violation of these Terms.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of The State of Washington without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall be resolved through binding arbitration conducted in the City of Snohomish, Washington.
12. Changes to These Terms
The Network reserves the right to modify or update these Terms at any time. Changes will be posted on this page with the updated date. It is your responsibility to review these Terms periodically. Your continued use of the Services after any changes to the Terms will constitute your acceptance of those changes.
13. Miscellaneous

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect.

Entire Agreement: These Terms constitute the entire agreement between you and the Network regarding the use of the Services, superseding all prior agreements and understandings.

Assignment: The Network may assign its rights and obligations under these Terms without restriction.
14. Force Majeure (Acts of Nature)
The Network shall not be held liable for any failure or delay in providing the Services due to circumstances beyond its reasonable control, including but not limited to:

Acts of God (e.g., natural disasters such as floods, earthquakes, hurricanes, or wildfires)

Pandemics, epidemics, or other health-related emergencies

Government actions, regulations, or restrictions (e.g., lockdowns, travel bans, or quarantines)

Fires, explosions, or accidents

Cyberattacks, data breaches, or technical failures beyond the Network’s control

Labor strikes or disputes
In the event of such occurrences, the Network will make reasonable efforts to restore its Services as quickly as possible, but we shall not be responsible for any disruption or failure to perform our obligations under these Terms during the period of such events.
